In the first part of the dissertation defines the concept of the company, its types and how to acquire the status of legal persons. In the following paper we consider the question of joint-stock company, its share capital and the rights and obligations of the shareholders themselves. Editing these relations in joint-stock companies based on the principle that the shareholders on equal terms in the same position. The Companies Act provides for two ways of establishing joint stock companies, simultaneous and successive establishment. In the second part of the dissertation analyzes the two systems of corporate governance : one-tier management system (single board system,a one-tier system) and tier management system (dual board, two-tier system). In the final paper emphasizes the important differences between these two forms of corporate governance, which should influence the choice of the owner joint-stock company. In the following paper discusses the fundamental issues related to the Supervisory Board as one of three Companies Act prescribes organs joint-stock company: the number and property of members, selection and appointment of members, term of office.
