Abstract
U prvom dijelu završnog rada definira se pojam trgovačkog društva, njegove vrste te na koji način stječe svojstvo pravne osobe. U nastavku rada se razmatra pitanje dioničkog društva, njegovog temeljnog kapitala te prava i obveze samih dioničara. UreĎivanje tih odnosa u dioničkim društvima temelji se na načelu da pod jednakim uvjetima dioničari imaju isti položaj. Zakon o trgovačkim društvima propisuje dva načina osnivanja dioničkih društava, simultano i sukcesivno osnivanje. U drugom dijelu... More završnog rada analizira se dva sustava korporativnog upravljanja: monistički sustav upravljanja (single board system, one-tier system) i dualistički sustav upravljanja (dual board system, two-tier system). U završnom radu su istaknute bitne razlike izmeĎu ta dva oblika korporativnog upravljanja, a koje bi trebale utjecati i na odabir vlasnika dioničkog društva. U nastavku rada se razmatraju temeljna pitanja vezana uz nadzorni odbor kao jedan od tri Zakonom o trgovačkim društvima propisana organa dioničkog društva: broj i svojstvo članova, izbor i imenovanje članstva, mandat. Abstract (english)
In the first part of the dissertation defines the concept of the company, its types and how to acquire the status of legal persons. In the following paper we consider the question of joint-stock company, its share capital and the rights and obligations of the shareholders themselves. Editing these relations in joint-stock companies based on the principle that the shareholders on equal terms in the same position.
