Abstract
Tematika ovog rada je zastupanje trgovačkog društva. Moderno hrvatsko pravo usvojilo je njemački sustav te je u velikoj mjeri usklađeno s pravnom stečevinom Europske unije. Trgovačka društva su uređena Zakonom o trgovačkim društvima, a njime je uređeno i područje zastupanja trgovačkih društava. Zastupanje trgovačkih društava dijeli se na zastupanje prema zakonu i zastupanje po punomoći (punomoć po zaposlenju, prokura, trgovačka punomoć te punomoć trgovačkom putniku). U ovom radu su obrađeni temelji zastupanja trgovačkih društava na osnovu Zakona o trgovačkim društvima te pomoću sekundarnih izvora podataka u vidu stručne literature i internetskih izvora. Pored osnovne tematike rada, obrađene su i teorijske osnove trgovačkih društava te odgovornost upravljanja istima.
Abstract (english)
The subject of this paper is the representation of a company. Modern Croatian law has adopted the German system and is largely adapted with the law of European Union. The companies are regulated by the Companies Act, and it is also regulates representation of the companies. Representation of companies is divided into representation according to law and representation by power of attorney (power of attorney for employment, proxies, commercial power of attorney and power of attorney for a commercial traveler). This paper deals with the foundations of companies' representation based on Companies Act and there are used secondary sources of data in the form of professional literature and internet sources. In addition to the basic themes of the work, the theoretical foundations of the companies have been elaborated such as the responsibility for managing them.
