Abstract
Vrijednosni papiri (engl. securities, njem. Wertpapiere, Effekten), odnosno vrijednosnice su isprave kojima se njihov izdavatelj obvezuje da će ispuniti obvezu upisanu na tim ispravama njihovom zakonitom imaocu. Potraživanje iz vrijednosnih papira vezano je uz sam papir. Vrijednosnice predstavljaju investiciju, odnosno predmet od financijske vrijednosti, (npr. dionice i obveznice), kojima se trguje na burzi vrijednosnih papira. Izdaju se na temelju uloženih novčanih sredstava. Na burzi se ne trguje svim vrijednosnim papirima već samo onima koji udovoljavaju zakonskim propisima i propisima burze. Tržište (ili burza) vrijednosnih papira je vrsta tržišta koje brokerima i trgovcima dionicama, obveznicama i ostalim vrijednosnim papirima omogućuje trgovanje. Dijeli se na tržište novca, tržište obveznica, hipotekarna tržišta, tržišta dionica, devizna tržišta i tržišta derivativnih instrumenata. Inicijalna javna ponuda dionica (eng. initial public offering) označava prvu javnu emisiju dionica, a najčešće se označava skraćenicom IPO. To prva javna ponuda dionica nekog privatno/državnog društva prema investicijskoj javnosti. Predstavlja postupak prvog izlaska dionica na primarno tržište kapitala. U situaciji kada se poduzeće odluči provesti ovu metodu prikupljanja kapitala, potrebno je provesti niz detaljnih analiza kako bi se utvrdile informacije bitne za proces IPO-a.
Abstract (english)
Securities, Wertpapiere, Effekten), securities, written documents which are required by the issuer to fulfill the obligation entered in those documents by their legitimate shareholder. Securities are linked to paper. They represent an investment, that is, a subject of financial value, (such as shares and bonds), traded on a stock exchange. They are issued based on invested funds. Not every stock is a subject of a stock exchange transaction, but only one that complies with legal regulations and stock exchange regulations. Securities market (or stock exchange) is a kind of market that enables trading to brokers and stock market traders, bonds traders and other securities traders. It consists of the money market, bond market, mortgage markets, stock markets, foreign exchange markets and derivative instruments markets. Initial public offering is the first public issue of shares, and is most often referred to as an IPO shortlist. This is the first public offer of shares of a private / state company to the investment public. It represents the first exit procedure for the primary capital market. In the situation when the company decides to implement this method of collecting capital, a number of detailed analysis need to be carried out to determine the information relevant for the IPO process.
